# Golden Share
A **golden share** is a single share of stock carrying **special voting or veto rights disproportionate to its economic value** — typically held by a government, and typically giving it a permanent say over specific corporate decisions regardless of how much of the company it actually owns.
The economic stake can be zero. The control is the point.
## Origin
The instrument comes from the British privatizations of the 1980s, when the UK government sold state enterprises but retained a special share to block foreign takeovers or breakups of newly private firms. The device spread through European privatization programs and was later curtailed within the EU as a restraint on capital movement.
## The U.S. version
The United States had essentially no golden-share tradition until 2025, when the government took one in [[U.S. Steel]] as a condition of approving [[Nippon Steel]]'s acquisition through the [[CFIUS]] process. The reported rights: a perpetual say over any attempt to redomicile the company outside the U.S., to waive or reduce planned investments, or to relocate jobs. See [[US Steel Nippon Golden Share]].
## Why it matters more than an equity stake
A conventional stake requires appropriated money and produces a disclosable position. A golden share requires **neither**:
- **No appropriation.** It is extracted as a condition of a regulatory approval the government was already empowered to grant or deny. The statutory hook is the CFIUS mitigation authority at 50 U.S.C. § 4565, which permits the committee to "impose, and enforce any agreement or condition" to mitigate national-security risk — language broad enough to cover a share nobody drafted it for.
- **No disclosure trigger.** It carries little or no economic value, so it does not show up as a holding worth reporting.
The result is governance control with none of the visibility that comes with ownership. It is the cheapest form of state control on the menu — which is exactly why it is worth watching whether it generalizes beyond one steel deal.
