# Hester Peirce
SEC Commissioner since 2018, nicknamed **"Crypto Mom"** for her longstanding dissents against the Gensler-era enforcement approach to cryptocurrency. Led the SEC Task Force on Crypto Assets that produced the February 27, 2025 staff guidance declaring memecoins generally not securities — the regulatory decision that cleared the $TRUMP memecoin's path.
## Background
- Confirmed to the SEC in January 2018; reappointed.
- Prior to SEC: Senior research fellow at the [[Mercatus Center]] (George Mason) and SEC staff under Chairman Paul Atkins.
- Long-standing dissenter on crypto enforcement cases under Gensler (Coinbase, Ripple, etc.) — arguing the Commission should issue clear rules rather than regulate by enforcement.
## The February 2025 Memecoin Guidance
On February 27, 2025, the SEC's **Division of Corporation Finance** issued a staff statement concluding that most memecoins "do not involve the offer and sale of securities" under the Howey Test. The statement relied heavily on Peirce's pre-existing positions.
### What the Guidance Said
- Memecoins with "limited or no use or functionality" are collectibles, not securities.
- They are generally sold to "attract enthusiasts for trading and community engagement."
- Buyer losses from memecoin investments are not within the SEC's securities-regulation purview.
- Reservation: the SEC retains authority if memecoins are used to evade securities laws.
### What It Meant for $TRUMP
The guidance was issued 41 days after the $TRUMP launch and 39 days after the $MELANIA launch. It retroactively cleared both tokens of SEC securities exposure. Without this guidance:
- The initial $312M in token sales could have been challenged as an unregistered securities offering.
- The $324M+ in ongoing trading fees to creator wallets could have been subject to continuing-securities-offering analysis.
- The gala structure — where token holdings determine access to the President — could have been examined as an investment scheme with expectation of profit.
The timing placed the SEC as the **de facto ratifier** of a launch that had already happened.
## Peirce's Simultaneous Warning
Peirce has been publicly candid about the limits of her own position. In a May 30, 2025 CNBC interview, she explicitly stated that $TRUMP holders and other memecoin investors **"won't be protected by the SEC"** — that the Commission's position treats the token as outside its jurisdiction, so investors who lose money have no enforcement recourse.
This creates the unusual posture of a regulator simultaneously:
1. Declining to regulate the product.
2. Publicly warning buyers that they have no protection.
3. Issuing the guidance that was the precondition for the product's lawful operation.
## Why She Matters
Peirce is the "honest hawk" of the crypto deregulation cohort. Unlike [[David Sacks]] (whose conflicts were personal/financial) or [[Paul Atkins]] (who dismantled active cases), Peirce's position has been intellectually consistent for most of a decade. This makes her the hardest of the three to portray as corrupt — and simultaneously the most effective regulator for the Trump family's crypto interests, because her decisions carry the credibility of a longtime principled dissenter rather than an obvious political operator.
