# SpaceX-Cursor Acquisition
**Announced May 20, 2026. Closed August 14, 2026.** [[SpaceX]] acquired [[Cursor]] — the AI coding tool built by Anysphere — for **$60 billion in stock**, issuing roughly **391 million SPCX Class A shares**. Cursor became a wholly owned subsidiary of the rebranded **SpaceXAI** division. It is among the largest developer-tools acquisitions on record.
The deal was first disclosed alongside the [[SpaceX IPO Filing]] and consummates the April 2026 [[xAI-Anysphere Option Deal]], which had given SpaceX a choice: pay roughly **$10B for a partnership**, or roughly **$60B to buy outright**. It exercised at the buyout price.

Cursor's engineering teams gained access to the **Memphis Colossus cluster**, reported at roughly **200,000 [[NVIDIA]] GPUs** with stated plans to scale toward one million. SPCX rose about **1.5%** on the closing news, trading near **$143**.
## The structure is the story: paid in stock, not cash
The headline number is not the interesting part. **This was paid in equity, ten days after a quarter that reported a $541M loss on $18.37B of capital expenditure.**
A newly public company issued roughly **391 million new Class A shares** — into the same float that had just cleared its first lock-up tranche on August 6, and eleven days before a second tranche of ~319M shares unlocked on August 20. Existing public shareholders were diluted to buy an application-layer software asset, while the company's operating cash was being consumed by an AI capital program.
The vault's standing "piggy bank" argument has been that SpaceX's cash-generative core subsidizes Musk's money-losing ventures ([[SpaceX $25B Bond Sale]], [[xAI-SpaceX Merger]]). This deal marks a change in kind, not degree: **the piggy bank now has an equity currency.** Acquisitions no longer require cash the company does not have, or debt it must service — they require shares it can print, which the public float absorbs. That is a materially more scalable mechanism, and it is available precisely because of the June 12 listing.
## Significance
- **Vertical integration at unusual scale.** [[Elon Musk]] now owns the application layer (Cursor) atop the model layer (Grok, post-[[SpaceXAI Rebrand]]) atop compute commitments (the [[SpaceX-Anthropic Compute Deal]], the [[Google-SpaceX xAI Compute Deal]], the 2→10 GW Nvidia buildout) atop launch and connectivity infrastructure ([[Starlink]], Starship).
- **Dilution against a live supply schedule.** The share issuance lands in the middle of a staggered lock-up releasing roughly **4.9B shares by year-end 2026** — see [[SPCX First Lock-Up Expiration]].
- **Conglomerate opacity.** As with the [[Tesla-SpaceX Terafab Commitment]], the transaction moves assets inside the Musk perimeter with limited external price discovery. The $60B figure derives from an option struck in April 2026 between related entities, not from a competitive process.
## Aftermath — OpenAI cuts Cursor off (August 29, 2026)
Fifteen days after the deal closed, [[OpenAI]] announced on **August 29, 2026** that it would wind
down its model-access agreement with Cursor, **proposing a shutoff date of November 12**. OpenAI
published the decision on its own site and gave a reason it did not have to give: that it cannot be
confident SpaceX will use its technology within the terms of service, **based on its experience with
[[Elon Musk]]'s companies**. [[Elon Musk]] publicly dismissed it. [[Anthropic]] said it would
*increase* compute to support Claude inside Cursor.
The direct exposure is small — OpenAI models are reported at roughly **5%** of Cursor traffic.
⚠️ That figure comes from reporting rather than a filing, and the "limited impact" framing is
OpenAI-favorable; treat it as unconfirmed until Cursor's own numbers surface.
**Why it belongs on this page.** The vault's conglomerate thread has been about capital flowing
*inward* — the [[SpaceX $25B Bond Sale]], the compute deals, the option on this very company routed
through xAI. This is the first time the structure produced a cost on the *supply* side, and the
stated ground is **counterparty trust in the parent's founder** — a reputational input priced into a
commercial relationship and, unusually, put in writing by the party imposing it. It is the bill for
vertical integration: owning the application layer means the model layer's competitors can now
choose whether to sell to you.
Note the redistribution. [[Anthropic]] became the beneficiary of this and of the
[[Anthropic Government Ban]] injunction in the same week, neither through any strategy of its own.
⏰ **November 12** is the dated trigger. The measurable consequence is whether Cursor loses enterprise
accounts over model availability — not the traffic share.
