# RUM Group $13.7B GPU Services Agreement
**Disclosed August 23, 2026 by 8-K.** [[RUM Group]]'s cloud division [[Quake AI]] signed a binding term sheet and commercial agreement with an **unaffiliated, unnamed U.S.-based cloud customer** covering up to **~$13.7 billion of GPU services over six years**, to be delivered from a data center **under development** in **Maysville, Georgia**. RUM Group shares rose roughly 10–11% on the disclosure.
Three numbers in that sentence are doing more work than the headline: *up to*, *unnamed*, and *under development*.
## Terms
| Item | Detail |
|---|---|
| Disclosed | **August 23, 2026** (Form 8-K) |
| Seller | **[[Quake AI]]**, the cloud/AI division of [[RUM Group]] |
| Customer | **Undisclosed** — described only as an unaffiliated U.S.-based cloud customer |
| Headline value | **~$13.7B aggregate order value** |
| Term | **Six years** |
| Structure | **Three tranches, spread evenly** — roughly $4.57B each |
| Third-tranche condition | The customer must first review and, at its **reasonable discretion**, approve the company's proposed delivery date |
| Site | Maysville, Georgia — **under development**, not operating |
| Warrant | Up to **50,808,408** RUM Group Class A shares at **$0.01** exercise price |
| Warrant vesting | Tied to actual purchases; the initial 50% vests in three tranches of **16.67%** each, one per purchased tranche |
| Financing | **None in place.** Company states its obligations are not subject to any financing condition or contingency |
## What the structure actually says
Read the tranche mechanics and the warrant mechanics together and the deal describes itself honestly.
**A third of the value is optional.** The customer can decline the third tranche by finding the proposed delivery date unacceptable. So the contracted floor is around **$9.1B**, not $13.7B, and even that assumes the first two tranches are delivered on schedule from a site that does not yet exist.
**The warrant prices that uncertainty.** A penny-strike warrant for 50.8 million shares is not a sweetener — it is the customer being paid to commit, in equity, by a seller that could not pay in any other currency. And the vesting schedule confirms the reading: shares vest **as purchases actually occur**, 16.67% per tranche. The seller has structured its own consideration so that it only dilutes shareholders if the revenue materializes. That is prudent, and it is also an admission that the revenue might not.
**The obligation is unconditional; the funding is absent.** RUM Group's own disclosure states it does not currently have financing to fund the required expenditures and that its obligations carry no financing condition. A company has bound itself to build capacity it cannot yet pay for, for a customer it will not name, at a site it has not finished.
## Significance
- **The contract is larger than the company.** A six-year obligation of this size sits well above RUM Group's market capitalization, which is the clearest available measure of how much of this is a plan rather than a business.
- **It completes the pivot.** The [[Rumble-Northern Data Business Combination]] gave an alt-tech video platform ~22,000 NVIDIA GPUs and 200+ MW of power capacity. This is the first attempt to monetize them at scale, and it commits the company to a capital program on the strength of one anonymous counterparty.
- **The anonymity is the open question.** Hyperscaler-scale GPU offtake agreements normally name the buyer, because the buyer's credit *is* the asset the seller finances against. An unnamed customer means the market is pricing RUM Group's revenue on a counterparty it cannot assess.
- **Politics is the unpriced input.** RUM Group's media half hosts [[Truth Social]]'s infrastructure and a large share of the right's creator economy. Nothing in the 8-K connects that to the compute business. But the company's access to capital, to power interconnection, and to a friendly regulatory posture is not politically neutral, and the vault should watch whether the customer, when named, turns out to be a government or government-adjacent buyer.
## Open questions
- **Who is the customer?** The single most valuable missing fact.
- **How does RUM Group fund the buildout?** Equity issuance, debt, vendor financing, or a customer prepayment would each imply a different risk profile. Watch for a capital raise.
- **What is the Maysville site's power interconnection status and timeline?** Delivery dates drive the tranche conditions, and interconnection queues are the usual reason such dates slip.
- **Does the warrant carry anti-dilution or transfer restrictions?** The 8-K summary reviewed here does not say.
