# Private Credit
Bank-style lending without bank regulation: funds lend directly to companies (mostly PE-owned ones), hold the illiquid loans to maturity, and answer to no bank examiner. The asset class exploded after Dodd-Frank pushed banks out of leveraged lending — roughly $2T today on narrow definitions (estimates run to $3.5T), with mainstream forecasts of ~$4T by 2030. It is the growth engine of the [[Private Equity Sector]] and the modern face of [[Shadow Banking]].
## Who runs it
Ares (credit AUM >$622B), Blue Owl (~$158B), Blackstone Credit, [[Apollo Global Management]], and BlackRock — which bought HPS for ~$12B (closed July 2025) to build a ~$220B franchise. The funding base is the quiet part: PE-owned insurers recycle annuity premiums into affiliated credit funds ([[Athene]] for Apollo, Global Atlantic for [[KKR]]), and the August 2025 401(k) executive order aims to open the ~$12T defined-contribution market — retirement savers as the next liquidity source, via interval and evergreen funds.
## The stress narrative (2025–26)
The warning sequence the vault tracks: the Tricolor and First Brands bankruptcies (September 2025, both involving allegedly double-pledged collateral, with a DOJ probe of First Brands); Jamie Dimon's "when you see one cockroach, there are probably more" (October 2025); the IMF's finding that ~40% of private-credit borrowers have negative free cash flow (up from 25% in 2021); the FSB's vulnerabilities report (May 6, 2026); and Partners Group capping withdrawals on its $8.6B evergreen fund (June 3, 2026) after redemption requests hit ~10% — with Apollo and Ares vehicles gating at 5% the same quarter. Headline default rates (~5.8% on Fitch's broad measure) understate stress because "payment-in-kind" interest — IOUs instead of cash — doubled to ~11% of the market: extend-and-pretend, institutionalized.
## Why it matters here
Private credit is where the next financial crisis would incubate outside the regulatory perimeter — opaque valuations, insurer entanglement, retail money arriving late, and contagion channels back into banks that regulators admit they can't see. It's also a political project: the industry won its 401(k) access and carried-interest protection through the same donor network mapped across the [[Private Equity Sector]]. Watch items: PIK share, BDC discounts, evergreen-fund gates, Bermuda reinsurance (see [[Athene]]).
