# Nippon Steel
**Nippon Steel** is Japan's largest steelmaker and one of the largest in the world. Its acquisition of [[U.S. Steel]] — announced in 2023, blocked on national-security grounds under the Biden administration, and finally approved in June 2025 — became the vehicle for the first American [[Golden Share]].
The approval came through [[CFIUS]] with an unprecedented condition: the U.S. government took a single share carrying a perpetual veto over redomiciling the company, reducing planned investment, or relocating jobs. See [[US Steel Nippon Golden Share]].
This is a stub — expand with the acquisition timeline, the union politics, the Biden-era block, and the terms of the investment commitments.
